Crowdfunding and Securities Regulations in USA

Hello I need someone to help me answering the described cases "related to USA crowdfunding and securities regulations" , and as below Case-1 Crowdfunding offerings for projects with capital not exceeding $1.5M for each project . offering will be done thru a US registered company but targeting a non US people nor US residents ( will be targeting geographical areas rather than US or Canada) .so in this case the offering will be targeting non US people and project out of US Case-2 as above but with offerings targeting non US people with project in US Case-3 as case-1 , offerings targeting US people with project out of US . Case-4 as case-1 offering targeting US people and non US people with project in US. what is the best regulation that should be applied for each case and what will be the type of corporation to be registered and best state to have it formed in. The last case : Do USA unlisted small companies " as above cases" need to get any permission from SEC to have their securities to be listed on a stock exchange out of the USA Regards Ibrahim Sayedahmad
